Non-Disclosure Agreement (NDA)
By submitting a pitch deck or other confidential information through this website form, you ("Disclosing Party") agree to the following terms with Champions Accelerator ("Receiving Party"):
1. Definition of Confidential Information:
- "Confidential Information" includes, but is not limited to, any and all information disclosed by the Disclosing Party to the Receiving Party, whether orally, in writing, electronically, or in any other form, including but not limited to:
- Business plans, pitch decks, financial information, customer lists, marketing strategies, product designs, technical specifications, and any other proprietary or sensitive information.
2. Non-Disclosure Obligations:
- The Receiving Party agrees to:
- Maintain the confidentiality of all Confidential Information.
- Not disclose Confidential Information to any third party without the prior written consent of the1 Disclosing Party, except2 to its employees, advisors, or contractors who have a need to know and are bound by similar confidentiality obligations.
- Use the Confidential Information solely for the purpose of evaluating the Disclosing Party's potential participation in the Champions Accelerator program.
- Take reasonable precautions to protect the Confidential Information from unauthorized disclosure or use, which shall be no less than the precautions it takes to protect its own confidential information.
3. Exclusions:
- The obligations of confidentiality shall not apply to information that:
- Is or becomes publicly known through no fault of the Receiving Party.
- Was already known to the Receiving Party prior to disclosure.
- Is independently developed by the Receiving Party without use of the Confidential Information.
- Is required to be disclosed by3 law or court order, provided that the Receiving Party gives the Disclosing Party prompt notice of such requirement.
4. No License or Ownership:
- This NDA does not grant the Receiving Party any license or ownership rights to the Confidential Information.
- All information remains the intellectual property of the disclosing party.
5. Liability Limitation:
- Champions Accelerator shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to this NDA.
- Champions Accelerator will do its best to protect the uploaded files, but will not be held liable for breaches that are outside of its control.
6. Term and Termination:
- The obligations of confidentiality shall survive for a period of 4 years from the date of submission.
- This NDA may be terminated by either party upon written notice.
7. Governing Law:
- This NDA shall be governed by and construed in accordance with the laws of India.
8. Entire Agreement:
- This NDA constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
9. Acknowledgment:
- By submitting your pitch deck, you acknowledge that you have read, understood, and agree to be bound by the terms of this Non-Disclosure Agreement.
